12.1 Neither party is liable for delays due to causes beyond reasonable control (e.g., acts of God, strikes, pandemics, government acts).
12.2 The affected party shall promptly notify the other and make reasonable efforts to mitigate.
12.3 If force majeure persists for over 60 days, either party may terminate the affected Order without liability.
13.1 We may terminate an Order or this Agreement if you: a. Fail to pay any sum due; b. Suspend business operations or become insolvent;
c. Breach any material term and fail to remedy within 14 days of written notice.
13.2 Upon termination, you shall pay for all Goods delivered and costs reasonably incurred.
14.1 Parties shall first seek amicable resolution through negotiation for 30 days.
14.2 If unresolved, disputes shall be referred to mandatory mediation under the Nairobi Centre for International Arbitration rules.
14.3 Failing mediation, disputes shall be finally resolved by arbitration in Nairobi under KCIA rules, with arbitrators’ award binding
and enforceable in Kenyan courts.
15.1 No amendment is valid unless in writing and signed by both parties.
15.2 Waiver of any breach does not constitute waiver of any subsequent breach.
15.3 If any provision is held invalid, remaining provisions continue in full force.
